'(Listings)': the object of one or several (electronic) agreements. Apart from these General Terms and Conditions, specific conditions may apply to certain services and/or products, if explicitly stated. Should there be any differences between those specific conditions and these General Terms and Conditions, the stipulations included in the specific conditions shall, in principle, prevail over the General Terms and Conditions, unless otherwise provided. Derogation from one or more of the stipulations included in these General Terms and Conditions can only be effectuated on condition that there is explicitly agreed evidence in writing. In that case, the remaining stipulations included in these Terms and Conditions shall remain fully in force. Any General Terms and Conditions applied by the Purchaser are not applicable.
A.2. 'Kanri Solutions Private Limited' reserves the right to modify and/or supplement the General Terms and Conditions at any time. By using the website or another electronic portal of 'Kanri Solutions Private Limited' and/or placing a listing, the tenant/purchaser accepts these General Terms and Conditions and all other rights and obligations as stated on the website. “Kanri Solutions Private Limited” can make an appeal to third parties if this is required for a correct execution of a contract with the Purchaser. The Kanri Privacy Policy applies to any personal information you give to Kanri through the Service. By choosing to use the Service, you are indicating that you agree to the terms of the Kanri Privacy Policy. You are in charge of keeping your username, password, and other sensitive information private. You agree to notify us right away of any unauthorized use of your user account by email to support@kanri.io or by calling any of the numbers provided on https://www.Kanri.io/contact.html. You are responsible for all activities that take place in your user account. If your user account is accessed or used without your permission for any reason, we are not liable for any resulting loss or damage to you or to any third parties.
In addition to all other terms and conditions of this Agreement, you shall not: (i) transfer the Services or otherwise make it available to any third party; (ii) offer any service based on the Services without prior written consent; (iii) permit user licenses to be shared or used by more than one person, unless the license is transferred to a new user; (iv) attempt to disassemble, reverse engineer, or decompile the Services, except as permitted by applicable law; (v) use third-party links to websites without first agreeing to their terms.; (vi) try to gain unauthorized access to the Services or its associated systems or network; (vii) post links to third-party websites or use their logo, company name, etc. without getting prior written consent from those parties; (viii) utilize the Services in a way that could harm, disable, overload, or otherwise negatively impact any server, network, computer system, or resource owned or used by Kanri; (x) use the Services in any way that tampers with or disrupts the integrity, security, or performance of the Services, its components, or the data contained therein; (ix) use the Services to send or store material that contains software viruses, worms, or other harmful computer codes, files, scripts, or program; (xi) hosting, displaying, uploading, editing, publishing, transmitting, storing, updating, or sharing any information that belongs to another person or entity and over which you have no authority, including personally identifiable or confidential information of any person or entity with respect to which you do not have that person or entity's consent or permission; (xii) use the Services for any type of competitive or benchmarking purposes; (xiii) violate any applicable local, state, national, or international law; and (xiv) remove or obfuscate any proprietary or other notices present in the Services; (xv) use our services in any way that endangers India's unity, integrity, defense, security, or sovereignty, its friendly relations with other nations, or public order, or that encourages the commission of any crime that is punishable by law, obstructs the investigation of any crime, or is offensive to other nations; (xvi) assume a false identity in order to deceive someone about the identity or source of any communication; (xvii) employing the services to disseminate information that is blatantly false and untrue and that has been written or published in any way with the intention of deceiving or harassing a person, entity, or agency for personal gain or to harm anyone; or (xviii) use the services in a way that promotes any behavior that is illegal in India.
The Services are offered through subscription plans with varying lengths. Only credit cards are accepted for subscription plans with less than a year's duration. Unless you downgrade your paid subscription plan to a free plan or let us know that you do not want the subscription to renew, your subscription will be automatically renewed at the end of each subscription period. The subscription fee will be charged to the last Credit Card you used at the time of automatic renewal. If you'd prefer to use a different Credit Card to pay for the renewal, you have the option of changing the details. You must let us know if you do not want to renew the subscription at least seven days before it is due. You will be deemed to have given Kanri permission to charge the subscription fee to the Credit Card last used by you if you have not downgraded to a free plan and have not notified us that you do not want to renew the subscription. We reserve the right to occasionally alter the cost of any Service or impose a fee for using Services that are currently provided without charge. Up until the end of your then-current billing cycle, no charges will go up. Unless you choose a paid subscription plan, you won't be charged for using any Services.
Kanri will send you an invoice for any taxes that apply to your subscription to our services that are chargeable by Kanri in accordance with any local, state, provincial, or foreign laws ("Taxes"). In addition to the subscription fees, you agree to pay these Taxes to Kanri. To assist you in obtaining the appropriate input tax credit for the Taxes so paid, Kanri shall provide you with an invoice in the format required by the applicable local, state, provincial, or foreign laws.
If you purchase any Products/Services/make a booking on kanri.io, you will be responsible for paying any applicable GST as per prevailing government GST rates.
In order to assure the safety of your online transactions, Kanri cooperates with authorized credit card payment partners and publishers. Online payments are executed via a closed security system (SSL), through which your bank details are always encrypted when they are sent via the Internet. Loss or theft of your identity or credit card information is hereby reduced to a minimum risk. Kanri believes all possible and appropriate precautions have been taken. Therefore, Kanri cannot be held liable for possible identity theft or financial theft.
When you create an account for your organisation, you can designate one or more administrators. Administrators will be able to configure the Services to meet your needs and manage end users in your organization's account. If a third party creates and configures your organisation account on your behalf, that third party has most likely assumed the administrator role for your organisation. Make sure you enter into a suitable agreement with such third party outlining such party's roles and responsibilities as an administrator of your organization's account.
You are responsible for (i) maintaining the confidentiality of your organisation account password, (ii) appointing competent individuals to manage your organisation account, and (iii) ensuring that all activities associated with your organisation account comply with this Agreement. You acknowledge that Kanri is not responsible for your account administration or the internal management of the Services.
You must take the necessary steps to ensure that your organisation retains control of the administrator accounts. By sending an email to support@kanri.io, you may specify a process to be followed in the event of such loss of control of the administrator accounts, provided that the process is acceptable to Kanri. In the absence of any specified administrator account recovery process, Kanri may grant access to an administrator account to an individual who provides Kanri with satisfactory proof of authorization to act on behalf of the organisation. You agree not to hold Kanri responsible for the consequences of any action taken in good faith by Kanri in this regard.
All intellectual property rights and derived rights continue to be retained by Kanri. These intellectual property rights shall be taken to mean copyrights, trademark rights, designs and models rights and/or other (intellectual property) rights, including technical and/or commercial know-how, methods and concepts, whether or not patentable. The Purchaser is not allowed to make use of the intellectual property rights as described in this article and/or make changes to them, unless it only concerns the private use of the product itself.
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content. You hereby agree that you will not:

We reserve the right to terminate unpaid user accounts that have been inactive for 120 days in a row. If a user account is terminated, all data associated with that user account is deleted. We will give you advance notice of any such termination and the option to back up your data. The data deletion policy may be applied to any or all of the Services. For the purposes of calculating the period of inactivity, each Service will be considered an independent and separate service. In other words, activity in one Service is insufficient to keep your user account active in another. Accounts with more than one user will not be considered inactive if at least one of the users is active.

PEOPLE WHO USE THE PLATFORM OR ACCESS IT FROM OTHER COUNTRIES DO SO VOLUNTARILY AND ARE IN CHARGE OF ADHERING TO LOCAL LAWS IN THOSE COUNTRIES.
In the event of any alleged illegal activity, protracted periods of inactivity, or requests from law enforcement or other governmental agencies, we may suspend your user account or temporarily disable access to all or a portion of any Service. Within thirty days of learning that a user's account has been suspended or disabled, complaints should be sent to support@kanri.io. After thirty days, we reserve the right to close a suspended or disabled user account. Additionally, upon your request, we will close your user account.
Furthermore, we reserve the right to terminate your user account and deny the Services if we have a reasonable belief that you have violated the Agreement, as well as to terminate your access to any Beta Service in the event of unexpected technical issues or the Beta Service's discontinuation. If Kanri breaches its obligations under this Agreement, you have the right to terminate your user account and receive a prorated refund of any prepaid fees. Denial of access to all Services, deletion of information in your user account such as your email address and password, and deletion of all data in your user account are all consequences of terminating your user account.
You agree that we may change this Agreement at any time by posting the updated terms on this website. Any and all such amended terms will become effective twenty-four (24) hours after they are posted on the site. As a result, we recommend that you review the terms of this Agreement on a regular basis. The most recent version of the Terms of Service can be found on this page at any time. We reserve the right to update, change, or replace any part of these Terms of Service at our sole discretion by posting updates and changes to our website. It is your responsibility to check our website for changes on a regular basis. Your continued use or access to our website or the Service after any changes to these Terms of Service are posted constitutes acceptance of those changes. If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, such provision shall still be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service; however, such determination shall not affect the validity and enforceability of any other remaining provisions.
This Agreement shall be governed and construed in accordance with the laws of the Union of India, subject to the jurisdiction of the courts of Mumbai, Maharashtra. This Agreement contains the parties' entire agreement and understanding and supersedes all offers, negotiations, and other agreements. There are no other representations or understandings other than those set forth herein. This Agreement may only be amended by a written document signed by both parties. The article headings are merely included for convenience and have no bearing on the terms' or articles' intended meanings. If there is a discrepancy between the text and a caption in any dispute arising under this Agreement, the text shall govern. All offers and contracts must exclusively be governed by Indian law. All disputes relating to or resulting from offers made by Kanri or agreements made with it will be brought before the Mumbai territorial court with jurisdiction over them.
